Terms of Service
These Terms of Service govern your use of the Merato platform operated by Merato Inc. By accessing or using the Platform, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Description of Service
Merato is a two-sided recruiting marketplace that connects hiring companies ("Companies") with independent recruiters ("Recruiters"). Companies post roles with bounties. Recruiters source, vet, and submit candidates. Merato facilitates the transaction and earns a platform fee on successful placements.
Eligibility
You must be at least 18 years old and legally able to enter into binding agreements. If you are registering on behalf of a company, you represent that you have authority to bind that entity.
Account Registration
- You must provide accurate, complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must promptly notify us of any unauthorized use of your account.
- One account per person; duplicate accounts may be terminated.
Company Obligations
- Companies must provide accurate role descriptions, compensation details, and bounty terms.
- Companies must review submitted candidates in good faith and provide timely feedback.
- Companies must pay bounties for successful placements according to the agreed terms.
- Companies must not circumvent the Platform to engage with candidates sourced through Merato outside the Platform.
Recruiter Obligations
- Recruiters must comply with all applicable employment and data protection laws when sourcing candidates.
- Recruiters must obtain appropriate consent from candidates before submitting their information.
- Recruiters must provide accurate candidate information and not misrepresent qualifications.
- Recruiters must not submit candidates who have not agreed to be represented.
Fees and Payments
- Merato charges a platform fee of 15% on each successful placement bounty.
- Companies are invoiced upon confirmed placement. Payment is due within 30 days.
- Recruiters receive their net bounty (85% of the total bounty) via Stripe Connect.
- Payout schedules and installment terms are specified per placement.
Guarantee Period
- Each role specifies a guarantee period (default: 90 days).
- If a placed candidate leaves or is terminated during the guarantee period, the bounty may be refunded to the Company and clawed back from the Recruiter.
- Disputes regarding guarantee terminations are handled through our dispute resolution process.
Intellectual Property
- Merato retains all rights to the Platform, its design, and proprietary technology.
- Users retain ownership of content they submit (role descriptions, candidate information, etc.).
- By submitting content, you grant Merato a non-exclusive license to use it for operating the Platform.
Prohibited Conduct
You may not:
- Use the Platform for any illegal purpose.
- Circumvent the Platform to avoid fees.
- Scrape, crawl, or harvest data from the Platform.
- Impersonate another person or entity.
- Interfere with the Platform's operation or security.
- Submit false, misleading, or discriminatory information.
Termination
- Either party may terminate their account at any time.
- Merato may suspend or terminate accounts that violate these Terms.
- Termination does not relieve you of obligations incurred prior to termination, including payment obligations.
- Upon termination, we will handle your data in accordance with our Privacy Policy.
Limitation of Liability
To the maximum extent permitted by law, Merato shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Dispute Resolution
- Disputes between Users should first be raised through the Platform's dispute resolution system.
- Unresolved disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
- Class action waiver: disputes must be brought individually, not as part of a class action.
Modifications
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
