Company Agreement
This Agreement is between your organization ("Company") and Merato Inc. and governs your use of the Merato platform as a hiring Company.

Service Description
Merato provides a marketplace platform connecting your Company with independent recruiters who source and submit candidates for your open roles. You set bounty amounts, review candidates, and pay on successful hires.

Role Listings
- You must provide accurate and complete role descriptions, including title, requirements, compensation range, and bounty terms.
- You must set bounty amounts in good faith, reflecting the value of the placement.
- You may pause, close, or modify role listings at any time, subject to existing recruiter commitments.
- Role listings must comply with all applicable employment and anti-discrimination laws.

Candidate Review
- You agree to review submitted candidates in a timely and fair manner.
- You must provide feedback on candidate status changes within a reasonable timeframe.
- Candidates sourced through the Platform must not be hired outside the Platform to circumvent fees.
- You must treat all candidate information as confidential and use it only for hiring purposes.

Bounties and Payment
- Bounty amounts are set per role and communicated to Recruiters before they begin sourcing.
- Upon a successful placement, Merato will invoice you for the full bounty amount.
- Payment is due within 30 days of invoice unless alternative terms are agreed.
- Failure to pay may result in suspension of your account and/or legal action.

Guarantee Period
- Each role specifies a guarantee period (default: 90 days).
- If a placed candidate leaves or is terminated within the guarantee period, you may request a refund of the bounty.
- To claim a guarantee, you must notify Merato within 5 business days of the candidate's departure.
- Guarantee claims are subject to review and may be disputed by the Recruiter.

Non-Circumvention
- You must not hire candidates sourced through the Platform without paying the agreed bounty.
- This obligation extends to all candidates submitted by Recruiters, regardless of when they are hired.
- The non-circumvention period lasts 12 months from the date of candidate submission.

Data Protection
- You must handle candidate personal data in accordance with applicable data protection laws (including GDPR where applicable).
- You must use candidate data only for the purpose of evaluating them for the role(s) they were submitted to.
- You must not share candidate data with unauthorized third parties.

Team Access
- You may invite team members to your Company account with appropriate role-based permissions.
- You are responsible for the actions of all team members on your account.
- The account owner is responsible for managing team access and permissions.

Termination
- Either party may terminate this Agreement with 30 days written notice.
- Outstanding payment obligations survive termination.
- Active placements in their guarantee period continue to be governed by their original terms.

Limitation of Liability
Merato does not guarantee the quality of candidates submitted by Recruiters. Merato's role is limited to providing the marketplace platform and facilitating transactions.

Governing Law
This Agreement is governed by the laws of the State of Delaware, United States.
