Recruiter Agreement
This Agreement is between you ("Recruiter") and Merato Inc. and governs your participation as a Recruiter on the Merato platform.

Recruiter Status
You operate as an independent contractor, not an employee of Merato or any Company on the Platform. You are responsible for your own taxes, insurance, and compliance with applicable laws.

Eligibility and Vetting
- All Recruiter accounts are subject to review and approval by Merato.
- Merato may request additional information or documentation during the vetting process.
- Merato reserves the right to reject or revoke Recruiter status at any time.

Candidate Sourcing Obligations
- You must comply with all applicable employment, data protection, and anti-discrimination laws.
- You must obtain explicit consent from candidates before submitting their information to the Platform.
- You must accurately represent candidate qualifications and experience.
- You must not submit candidates without their knowledge or against their wishes.
- You must respect candidate preferences regarding confidentiality.

Platform Usage
- You may only work on roles you have explicitly joined on the Platform.
- You must not contact Companies or candidates outside the Platform to circumvent fees.
- You must respond to Company communications and candidate status updates in a timely manner.
- You must maintain professional conduct in all Platform interactions.

Compensation
- You earn bounties for successful candidate placements as specified on each role listing.
- Merato deducts a 15% platform fee from each bounty.
- Payouts are made via Stripe Connect to your verified bank account.
- Payout schedules follow the terms specified per placement (immediate, installments, etc.).

Guarantee Period
- Each placement is subject to a guarantee period (typically 90 days, as specified by the role).
- If a placed candidate leaves or is terminated within the guarantee period, the bounty may be refunded.
- You will be notified of any guarantee termination and may dispute it through the Platform.

Attribution and Exclusivity
- Candidate attribution follows a first-to-submit model.
- Once you submit a candidate for a role, you hold attribution for that candidate-role combination.
- Cross-company attribution is tracked with a 60-day exclusivity window.
- Disputes regarding attribution are handled through the Platform's dispute resolution system.

Confidentiality
- You must keep all non-public role details, company information, and candidate data confidential.
- You must not share role details, bounty amounts, or internal notes with unauthorized parties.
- Confidentiality obligations survive termination of this Agreement.

Termination
- Either party may terminate this Agreement at any time with written notice.
- Outstanding bounties for placed candidates will be honored according to their terms.
- Upon termination, your access to the Platform will be revoked.
- Data retention and deletion will follow our Privacy Policy.

Indemnification
You agree to indemnify and hold harmless Merato from any claims, damages, or expenses arising from your breach of this Agreement, your sourcing activities, or your violation of applicable laws.

Governing Law
This Agreement is governed by the laws of the State of Delaware, United States.
